OUR SERVICES

1.3 Our purpose is to introduce you, the Introducer via our website to Suppliers , who

are in the business of providing the professional goods and services you require

for your contact , and who on securing a commitment from your contact to order

the relevant goods or services from them , will pay you a commission for securing

this In this respect , once you have accepted these terms of business and become

a member ,you will be provided with access to the list of relevant Suppliers .In

addition to describing the relevant goods or services, the profile for every Supplier

will provide contact information and the commission that the Supplier is prepared

to pay for the introduction.

1.4 An introduction is generated by the website if it introduces you to a Supplier of goods

or services that your contact requires , and you and your contact are not currently

dealing with that Supplier. In this respect, unless we are advised by you to the

contrary by e-mail within 7 days of your completing the on-line form (see 5.1

below) we can assume that the relevant Supplier is new to you and your contact.

1.5 We use reasonable endeavours to vet all Suppliers and ensure that they are

reputable .However, the Suppliers are independent organisations who are in no way

connected to us. We do not act as their agent , and as such you must satisfy yourself

that the Supplier you choose is able to provide the goods or services you and your

contact require.

1.6 We can accept no responsibility or liability if the Supplier is subsequently unable to

provide the goods or services either at all or satisfactorily

1.7 On all business transacted by you or your contacts with any Supplier we will raise the

invoice on your behalf for the payment of your commission .Within 10 days

of our receipt of your commission, we will account to you for the same after

deducting our introduction fee of 10% (plus Vat if applicable) of your commission

from the payment ,. For the avoidance of doubt, if a Supplier is unable or unwilling

to pay your commission we will report this to you but it will then be your

responsibility to collect the fees and pay us our introduction fee..We will not get

involved in any dispute with a Supplier.

1.8 If commissions due to you are sent to you by us and returned to us for 6 consecutive

months we shall be entitled to retain the same.

OBLIGATIONS OF THE INTRODUCER

1.9 You will need to complete an online form on the Website ( See Online form) for

the particular goods or services that your contacts require and nominating the

Suppliers that you wish to tender/apply to provide the relevant services or goods

and we in turn will then contact the relevant Supplier.

1.10 The Supplier may then contact you directly to facilitate the sale and you will inform us

by e-mail when any arrangements have been concluded.

1.11 For the avoidance of doubt (unless otherwise agreed by us in writing) all transactions

that you carry out with the Suppliers on our website and for which you receive

commission now or in the future will be subject to the payment of our introduction

fee irrespective of whether you or the Supplier are still a member of the website

1.12 You will at all times act in good faith. In particular you will not attempt to deal with

the Suppliers on our website other than through the website or in a way that may

deprive us of our introduction fee. In this respect you will on notice afford us or our

representatives access to your records to verify the position.

1.13 By joining as a member, we assume that (a) you have the authority of your contacts and

(b) you are legally entitled to charge commissions for the introduction of services

required by your contacts to Suppliers .

1.14 All information placed on our Website by Suppliers ( in particular their prices and

the commissions they are offer) is confidential and you are required to use such

information only for the purpose of evaluating whether the relevant Supplier is

suitable for you and your contacts and you will not to divulge any such information

to a third party unless it is already in the public domain other than as a result of your

disclosure.

MEMBERSHIP

1.15 As an introducer you are required to pay a £50 per annum membership fee to afford you

access to the services contained in our Website. Once you have agreed to these terms

of business the first years fees will be collected from you and subsequent fees will be

due on every anniversary thereafter ..

1.16 If you have not earned commission equivalent to the £50 membership fee in the first

6 months of your membership, we will on your written request received within

30 days following the end of the 6 months period, refund you your membership fee

less %10, within 30 days of receiving the said notice..

1.17 In subsequent years, the annual membership fee will be deducted from the commission

due to you.

1.18 We reserve the right at any time to terminate or cancel your membership.You will be

entitled to a prorata refund of any membership fee paid for the period remaining in

that year of membership. After your membership has terminated, you will have no

further access to the services provided by the Website ,but for the avoidance of doubt

you will remain liable to account to us for the introduction fee on any commission

you receive from the Suppliers and paragraphs 5.3 and 5.4 shall survive termination..

OUR RIGHT TO VARY THESE TERMS

1.19 We may revise these Terms at any time by giving you not less than 28 days notice.If you

are unhappy with the variation you shall be entitled to terminate your membership by

notifying us to that effect within the said 28 days failing which it is assumed that you

accept the variation

GOVERNING LAW AND LIABILITY

1.20 These terms of business are governed by English Law and the parties shall be subject to

the jurisdiction of the English courts

1.21 Nothing in these Terms limit or exclude our liability for:

(a) death or personal injury caused by our negligence;

(b) fraud or fraudulent misrepresentation

8.3 Except as expressly stated in these Terms, we do not give any representation,

warranties or undertakings in relation to the Suppliers or the goods and services

they provide and you cannot rely on any representation we have made in respect

of the same. Any representation, condition or warranty which might be implied or

incorporated into these Terms by statute, common law or otherwise is excluded to the

fullest extent permitted by law. In particular, we will not be responsible for ensuring

that goods or services are suitable for your or your contacts purposes.

whether in contract, tort (including negligence), breach of statutory duty, or

otherwise, arising under or in connection with the Contract for:

(c) any loss of profits, sales, business, or revenue;

(e) loss of business opportunity;

(f) loss of anticipated savings;or

(g) loss of goodwill;

(h) any indirect or consequential loss

periodic information and updates which are critical to the
